Avoiding Cleaning? Time to 'Get Sheet Done' With Bounty's ... - Procter & Gamble

ragamnyakabar.blogspot.com

No Surprise, Recent Survey Finds a Third (33%) of Gen Z Would Rather Buy a New, Cleaner House Than Clean Their Own1

Bounty paper towels are launching an even better version of the Quicker Picker Upper just in time for Spring cleaning. Spring cleaning procrastinators your new best friend, Bounty, is here to help and apparently a lot of you need it. Most Americans (87%) have procrastinated their household cleaning2, according to a recent survey by Reputation Leaders for Bounty.

This Spring, new Bounty paper towels are hitting store shelves with a goal of helping people tackle the cleaning tasks they’ve been putting off. No stranger to going out of her way to avoid cleaning, Bounty has partnered with self-proclaimed cleaning procrastinator Adrienne Bailon-Houghton to encourage everyone get sheet done this Spring.

“Yes, I’m busy and a new mom, but in all honesty, I genuinely stress about cleaning and avoid it,” says NAACP and Emmy Award winning host & producer, Adrienne Bailon-Houghton. “I completely relate to the third of all Americans who would rather balance their budget than clean3. I mean, taxes or a toilet bowl? Taxes please! I even watch people use Bounty on #CleanTok over actually cleaning. But I’m all out of excuses thanks to new Bounty. Since one sheet can now go so much further, I can tackle the cleaning tasks I’ve been putting off!”

Bounty’s newest innovative paper towel is a triple threat, driven by superior structure, flexible strength, and optimized fluid efficiencies, allowing you to use less to clean up the toughest messes.

  • Bounty’s new proprietary microstructure is larger than our previous design and built to hold up under pressure. You may not see it, but you can feel the difference. The microstructure has an optimized column design. Some competitors collapse when wet whereas Bounty’s newest paper towel technology expands to hold in the mess.
  • Bounty’s microstructure has dedicated strong and flexible zones making it cloth-like.
  • Bounty is obsessed with continual innovation; the new microstructure creates dedicated absorbance zones which pump and direct liquid more evenly through the sheet, trapping and locking the mess in both sheet directions.

“We know some Americans would rather pull weeds than clean4 – me included,” said Gregg Weaver, Bounty Senior Scientist. “Our newest paper towel sheets are more absorbent, so you can use less to clean up the toughest messes. So, for the third of Americans that rather would do anything other than clean5, know that Bounty’s newest paper towel is even better than previous versions and keeps working until the job is done, so you can do more and use less.”

Still need a little motivation? Cleaning procrastinators confirmed that after cleaning even a little bit, 8 in 10 feel so much better6, and 1 in 3 wanted to keep going7. Stop avoiding cleaning and show us how you #GetSheetDone with Bounty at @bountypapertowels.

Four Dollar Tree must-haves and one to avoid - it broke when I used it - The US Sun

ragamnyakabar.blogspot.com

DOLLAR Tree offers shoppers some incredible deals for just $1.25 per item, but that doesn’t mean every product is worth it.

Dollar Tree has been a go-to spot for budget shoppers for decades, and throughout the years, the store has provided high quality groceries, home supplies and decorations.

Dollar Tree has many high quality items as well as some to avoid

Many shoppers swear by the brand, including a TikToker named Sarah who goes by @SensationalFinds.

On her latest Dollar Tree haul, she shared with her hundreds of thousands of followers which items they should keep an eye out for as well as one to steer clear of.

1. FACIAL WIPES

When Sarah first entered her local store, she discovered some YesTo hydrating facial wipes for just $1.25.

They came in an assortment of options, including coconut and a specialty version for dull and uneven skin.

I’m a DIY pro – I transformed my bathroom with $3.75 floating ‘marble shelves’
I tried four store-bought napkins and value for money won

“These are great to keep on hand especially for the summer months,” Sarah said.

Plus, Sarah said they tend to retail at $5.99 at Bed Bath & Beyond, making this product a major steal.

Each package comes with a total of 40 wipes.

2. MAKEUP

Next up, Sarah made her way through the large makeup department in Dollar Tree.

Most read in Money

She discovered a Le Mercerie matte finish setting spray for just $1.25.

“I have not tried it, but I will for sure,” Sarah said.

There was also a Be Pure hydrating concealer for the same price.

Perhaps the most exciting makeup offering to Sarah was a rose serum.

“This serum looks fantastic,” the TikToker said. “If you’ve tried it, let me know what your thoughts are.”

Also in the section was a product that will make a perfect Easter Egg basket addition.

The popsicle lip glosses come in several colors and flavors and are available for the same record $1.25 price.

“I definitely recommend picking up one of those,” Sarah said.

A two-step nose kit from YesTo was also available to help you get your skin in shape.

The item is the tomato option with charcoal ingredients used to detoxify your skin.

3. MEN’S SELF CARE

Men can find some great deals for their personal beauty routines at the retailer.

Dollar Tree offers a Fructis Style Power Wax Spray for men at just $1.25.

This hair product will purposefully provide you with a messy, textured look to your locks.

4. CLEANERS

Dollar Tree has plenty more products available than just self care items though.

You’ll be ready to clean your entire house if you pick up the 32 ounce Comet bleach cleaner.

Zep cleaners are also on sale for $1.25.

“Literally, you cannot beat it with a bat,” Sarah said of the deal.

WHAT TO AVOID

Not every product is worth $1.25, even at the bargain retailer, however.

Sarah also saw a mascara from the same Le Mercerie brand as the matte finish setting spray and thought it might be worth the buy.

However, now she’s warning her viewers to avoid the product altogether.

“It was actually c**p,” Sarah said. “It broke as soon as I brought it home and tried to use it.”

SAVE MORE AT DOLLAR TREE

Dollar Tree offers the vast majority of its products for just $1.25, easily making it one of the cheapest stores around for grocery, beauty or home products.

Cleaning supplies, baking goods, and toiletries are some of the best finds at the chain.

You can also find toys, party supplies, and health products to be some of the best deals.

That doesn’t mean you shouldn’t explore the options at other stores like Aldi and Walmart.

These retailers offer several unmarked clearance items, which can provide deals for as low as dollars or just cents.

There’s extra ways to boost your savings the next time you’re in any store though.

Look into cashback apps that offer rewards, as they can help you earn extra no matter what you’re buying.

Ibotta is one of the most popular ones to use, with the company claiming its users save an average of $150 per year.

There are roughly 8,000 Dollar Tree locations across the US and Canada.

California Business Divorce: Corporate Opportunity Usurpation and ... - JD Supra

ragamnyakabar.blogspot.com

Going into business with someone requires a high level of trust. For a business to thrive, business partners must be loyal to the business and each other. As in a marriage, when a partner in a business is disloyal, things tend to fall apart.

California law mandates a duty of loyalty on business partners, such as members of a California limited liability company. According to Section 17704.09(b)(1) of the California Corporations  Code 17704.09(b)(1):

A member’s duty of loyalty to the limited liability company and the other members is limited to the following:

(1) To account to the limited liability company and hold as trustee for it any property, profit, or benefit derived by the member in the conduct and winding up of the activities of a limited liability company or derived from a use by the member of a limited liability company property, including the appropriation of a limited liability company opportunity.” (emphasis added)

There are many different ways business partners can breach their duty of loyalty, but for purposes of this article, we’ll address a common variety that tends to lead to business divorce, which is the usurpation of business opportunities by a member.

What is Corporate Opportunity Usurpation?

Corporate opportunity usurpation, also known as the corporate opportunity doctrine, refers to a breach of a fiduciary duty when an LLC member takes advantage of a business opportunity that rightfully belongs to the LLC. In California, LLC members owe a duty of loyalty to the LLC and other members, which includes not appropriating corporate opportunities without proper disclosure and consent from the company.

Hypothetical Examples of Usurpation

Corporate opportunities come in all shapes and sizes, so let’s review a few hypothetical scenarios that involve the types of actions by a member that typically give rise to corporate opportunity usurpation disputes.

Scenario 1: John, an LLC member, had insider knowledge that his company was interested in purchasing a prime piece of real estate for a new development project. Instead of sharing this information with the other members, John secretly acquired the property through a separate entity under his control. When the LLC discovered John's actions, they filed a lawsuit against him for usurping a corporate opportunity.

Scenario 2: Mary, an LLC member, learned that a competitor was experiencing financial difficulties and was looking to sell some of its valuable assets at a discounted price. Instead of bringing the opportunity to the attention of the LLC, Mary decided to pursue the deal personally, hoping to profit from the acquisition. Eventually, the other LLC members found out about Mary's actions and sued her for usurping a corporate opportunity.

Scenario 3: A family-owned LLC consisted of three siblings: Alice, Bob, and Carol. Alice discovered a new, profitable market niche and decided to start a separate competing business without disclosing her plans to Bob and Carol. Alice's new business began to directly impact the LLC's revenue, leading Bob and Carol to file a lawsuit against her for usurping a corporate opportunity and breaching her fiduciary duty.

So, did John, Mary and Alice usurp corporate opportunities in a way that breached a fiduciary duty in the foregoing scenarios? As with most legal issues, these types of cases involve intense inquiries of the underlying facts, including the important question of whether a corporate opportunity existed in the first place.

In general, to determine whether something is a corporate opportunity, courts look to factors such as:

  • Whether the business would be financially able to take the opportunity.
  • If the opportunity is in the same line of business as the corporation.
  • Whether the corporation has an interest or expectancy in the opportunity.
  • Whether taking the opportunity would create a conflict of interest or be a breach of a fiduciary duty.

To the extent a corporate opportunity exists, an LLC member cannot pursue such opportunity for their own personal benefit. Instead, to fulfill his or her fiduciary duty, an LLC member must first offer the business opportunity to the LLC. Failure to do so can give rise to a cause of action by the LLC against the breaching member—not to mention lead to a business divorce due to loss of trust among members.

Practical Tips: Proactive Measures to Avoid Corporate Opportunity Usurpation Issues in Your California LLC

The best way to avoid difficult and costly fights involving allegations of breaches of fiduciary duties is to be proactive and ensure that all members of an LLC understand and are fulfilling their fiduciary duties. The following tips are practical best practices for avoiding corporate opportunity usurpation issues that your LLC may want to consider:

  1. Establish clear policies and procedures for disclosing and evaluating potential corporate opportunities: This should include a defined procedure for evaluating the opportunity, determining whether it falls within the scope of the LLC's interests, and obtaining consent before any member pursues the opportunity personally.
  2. Implement regular training on fiduciary duties, particularly the duty of loyalty and the corporate opportunity doctrine: This training should cover legal requirements, case studies, and real-life examples to reinforce the importance of adhering to these duties.
  3. Encourage open communication among LLC members to foster trust and transparency: Encourage members to openly discuss potential opportunities and conflicts of interest. This open dialogue can help mitigate the risk of corporate opportunity usurpation and strengthen trust among members.
  4. Adopt a conflict of interest policy: Draft a comprehensive conflict of interest policy that outlines the steps members must take to disclose any potential or actual conflicts, as well as the process for resolving such conflicts.
  5. Establish a clear decision-making process: Define a transparent decision-making process for evaluating and approving business opportunities, including a voting system, quorum requirements, and any necessary approvals from outside advisors or legal counsel. This process will help ensure that all members have an equal say in the pursuit of opportunities and reduce the risk of corporate opportunity usurpation.
  6. Consult with legal counsel: Retain experienced legal counsel to advise on the development and implementation of policies and procedures related to fiduciary duties and corporate opportunities. Regularly seek guidance on matters involving potential conflicts of interest or business opportunities to ensure compliance with the law and minimize legal risks. An attorney can help you navigate complex situations and provide valuable insights to protect your LLC's interests.

By incorporating these best practices into your LLC's operations, you can foster a culture of transparency, accountability, and adherence to fiduciary duties. This proactive approach can help prevent corporate opportunity usurpation, avoid disputes between members, protect your LLC's interests, and contribute to its long-term success.

The next legacy tech trap is here – how can banks avoid it? - Retail Banker International

ragamnyakabar.blogspot.com

The pace of change in financial services is accelerating due to the growth of new digital channels, technological capabilities, and an increasing array of vendors. No corner of financial services today is untouched by these changes.

As a result, there are now major opportunities for growth. Financial organisations that can innovate and offer smarter, better, faster financial products and services that are relevant to both consumers and business customers alike will achieve greater competitive differentiation, revenue growth and market share.

However, the demand for innovation poses a significant resource management challenge – one made worse by an ongoing reliance on legacy architecture and an extremely competitive market for technical staff.

So how can financial institutions (FIs) rapidly innovate and avoid the next legacy tech trap?

The pace of change is fast and the generational gap is wide

FIs are struggling to keep up with evolving customer expectations for new and innovative products and services.

A major reason is due to generational differences in willingness to adopt new technology emerging in the financial services industry, with millennials being more open to using new technologies and partnering with fintech companies. Aite-Novarica Group research indicates that 70% of millennial-run SMEs currently partner with a non-bank fintech company for some form of financial service capability. This compares to only 30% of boomer- and senior-run SMEs reporting that they are currently working with a nonbank fintech provider.

Non-banks can either be a threat or friend to banks. Banks need to change the fintech delivery model to encompass embedded finance so they can enable non-banks rather than risk being disintermediated by them.

The difficult fork in the road to innovation

FIs face challenges in innovating and launching new products and services due to limited resources and sourcing technology talent remains a major challenge. Despite changes in how vendors work, many FIs still prefer internal development, but this resource-intensive approach is not scalable and risks creating new technical debt. As technology becomes more interconnected, data-driven, and cloud-based, bespoke solutions risk becoming the next form of legacy platform that does not integrate well with other emerging technologies and services.

When it comes to looking externally for partners, this brings its own challenges. Many organisations lack the internal resources to manage these partnerships efficiently. As a result, FIs tend to rely on a small handful of vendor partners, limiting their access to innovative capabilities and best-in-class providers. Legal and commercial agreements can further compound these challenges. Overall, managing these relationships remains an intensive and multistep process that requires the right internal skill set and processes.

Replacing the core won’t fix everything

Many FIs are turning to core replacement as a key part of their modernisation and innovation strategies. However, this process is complex and risky, with three primary strategies: full rip-and-replace, greenfield launch, and wrap-around or core-hollowing. While modernising the core can provide greater flexibility and security, each approach has its own challenges and potential disruptions. Core replacement is not a silver bullet solution to fixing innovation challenges in the financial industry.

Although core modernisation is important for FIs, it can draw attention and resources away from new product and service deployments and innovations. Much like the legacy infrastructure it is intended to replace, FI core modernisation programs are unique in their implementation and prone to significant challenges—even outright failures. Moreover, it is typically time consuming, sometimes taking years – this is time banks can’t afford to lose. FIs need to innovate fast to keep up with market demands and customer expectations.

McKinsey reports that only 30% of core banking system transformations are successful in fully migrating ledgers and products to a new system. Additionally, core modernisation programs that inadequately plan for connectivity and interoperability across the stack lower their innovation efficiency and effectiveness. Therefore, it is important for FIs to find ways to innovate rapidly and immediately in parallel with broader infrastructure initiatives.

Paving the path to innovation

New approaches to rolling out financial technology – fintech enablement platforms – provide FIs with the ability to innovate and launch digital products and services without sacrificing existing infrastructure. This approach includes pre-built components, data models, and software-as-a-service ecosystem connectors, which can be quickly deployed to accelerate the launch of financial solutions and new customer journeys.

Crucial to success are platforms that can provide the security assurances and compatibility FIs require in their broader infrastructure. Plug-and-play solutions from third-party vendors and emerging fintechs can often lead to due diligence problems in terms of legal and technical compliance. These risks can be reduced when FIs have the tools to develop and manage innovations and new customer journeys themselves.

The recent growth of no-and low-code capabilities further adds to the potential benefits of fintech enablement platforms, empowering less technically adept staff to handle development and a more iterative flexible design approach.

Embedded finance and open banking are driving the need for FIs to shape unique customer journeys with potential partners. Fintech enablement platforms provide the tools necessary to build innovation in flexible and agile ways that can use, but are not reliant on, existing infrastructure. This helps break down technology silos, increases speed to market, facilitates innovation, and provides a more customer-centric approach to products and services.

Why banks need to avoid the new legacy trap

The barrier to success is legacy technology and escaping the legacy trap requires FIs to adapt their business models to enable innovation. Delivering features in the legacy-rich incumbent banking environment is risky, slow, and expensive. The path to modernisation is complex and it’s therefore vital for FIs to not fall into yet another legacy tech trap that has already held them back for so many years.

FIs need to be ready for quick market shifts and new fintech enablement approaches provide the capabilities to modernise, innovate, and manage their products and customer journeys in a more rapid way, providing a clear competitive advantage.

What’s The Bristle Reaction And Can You Actually Avoid It? - Yahoo News

ragamnyakabar.blogspot.com
bristle reaction
bristle reaction

‘The Bristle Reaction’ is all over TikTok and all the long-term lovers are finally feeling seen. In a sentence, the bristle reaction is that feeling of tensing up – or ‘bristling’- when your partner tries to touch you.

Author and licensed sex therapist Vanessa Marin coined the term ‘the bristle reaction’. The term, which has gained over 106 million views on TikTok, is stirring up conversation about the confusing feelings around physical touch in committed, long-term relationships. Marin took to TikTok to speak about the all-too-familiar sensation of navigating unwanted physical affection by a partner. Many commented that they were glad to learn they are not alone in loving someone but reacting so negatively to their touch.

What’s the deal with the Bristle Reaction?

According to Marin, the longer we are in a relationship, the less natural it feels to initiate sexual intimacy. There is something about spending more time with a partner that shifts sex. This shift is actually pretty natural and nothing to feel bad about. In fact, Marin goes on to define the bristle reaction as “when you become so hyper-vigilant to your partner’s touch or kisses that you actually can feel yourself bristle.”

Beyond TikTok, Marin expands on the topic on her website. Having mismatched sex-drives is also responsible for shunning sexual touch.

“Typically the higher sex drive partner (let’s call them the higher) ends up initiating more frequently. The lower sex drive partner (let’s call them the lower) is on the lookout for how the higher initiates, so they can shut things down as quickly as possible,” Marin explained.

How long is too long without sex in a relationship?

How sex is initiated is at the heart of the bristle reaction. In the earlier stages of a relationship there is still a lot to discover and a seemingly endless list of sexy ways to do so. Long-term relationships usually lack this level of curiosity. Long-term lovers are pretty-much all experimented-out and understandably have a different reaction to sex.

Being on the same page about sex drive is the aim while soothing long-term sex life patterns. Rather than questioning ‘how long is too long without sex?’, you’re better off focusing on how to confidently ask for and/or receive intimate pleasure. Communicating desires for sex in a way that is well-received will instill more willingness to engage in sex and will dictate the frequency of your sex life.

Avoiding The Bristle Reaction

People rarely talk about maintaining intimacy in long-term relationships. Perhaps the assumption here is that intimacy is a given the longer you’re in a relationship. Most suppose that after declaring your love or affection, intimacy naturally follows. The bristle reaction says otherwise. This is what you can do to avoid the bristle reaction effectively.

Have an open discussion about how you do and don’t like to be touched

Marin’s first tip is to have a healthy conversation about how you like to be touched. Marin also suggests using sex maps and allowing for a clear way to rediscover your partner’s (ever-evolving) pleasure points.

Regular non-sexual touch as a remedy

Creating structured non-sexual “touch time,” as Marin calls it, is a great way to normalize touch beyond sex. This a perfect way for the higher and the lower to reestablish and reset ideas about touch. Some non-sexual touch ideas include playing with each others hair, hand-holding, massages, or cuddling.

Switch up your initiation style

Initiating sex using roundabout ways such as extending the kiss longer can be off-putting according to Marin. Avoiding the bristle reaction is all about taking the awkwardness out of approaching sex as a long-term pair. One suggestion that Marin presents is by agreeing with your partner to only initiate sex verbally for a period in order to prepare the mind for sex.

Patience on the journey to redefining your sex life

Another 21Ninety tip is to lean into patience romance. It may take a while for your new routines to truly settle. Allow for a little grace, a little understanding, and lots of romance regardless. Affirm the romance in other ways until you find a great balance that works for both of you.
