On her latest Dollar Tree haul, she shared with her hundreds of thousands of followers which items they should keep an eye out for as well as one to steer clear of.

1. FACIAL WIPES

When Sarah first entered her local store, she discovered some YesTo hydrating facial wipes for just $1.25.

They came in an assortment of options, including coconut and a specialty version for dull and uneven skin.

“These are great to keep on hand especially for the summer months,” Sarah said.

Plus, Sarah said they tend to retail at $5.99 at Bed Bath & Beyond, making this product a major steal.

Each package comes with a total of 40 wipes.

2. MAKEUP

Next up, Sarah made her way through the large makeup department in Dollar Tree.

Going into business with someone requires a high level of trust. For a business to thrive, business partners must be loyal to the business and each other. As in a marriage, when a partner in a business is disloyal, things tend to fall apart.

California law mandates a duty of loyalty on business partners, such as members of a California limited liability company. According to Section 17704.09(b)(1) of the California Corporations  Code 17704.09(b)(1):

A member’s duty of loyalty to the limited liability company and the other members is limited to the following:

(1) To account to the limited liability company and hold as trustee for it any property, profit, or benefit derived by the member in the conduct and winding up of the activities of a limited liability company or derived from a use by the member of a limited liability company property, including the appropriation of a limited liability company opportunity.” (emphasis added)

There are many different ways business partners can breach their duty of loyalty, but for purposes of this article, we’ll address a common variety that tends to lead to business divorce, which is the usurpation of business opportunities by a member.

What is Corporate Opportunity Usurpation?

Corporate opportunity usurpation, also known as the corporate opportunity doctrine, refers to a breach of a fiduciary duty when an LLC member takes advantage of a business opportunity that rightfully belongs to the LLC. In California, LLC members owe a duty of loyalty to the LLC and other members, which includes not appropriating corporate opportunities without proper disclosure and consent from the company.

Hypothetical Examples of Usurpation

Corporate opportunities come in all shapes and sizes, so let’s review a few hypothetical scenarios that involve the types of actions by a member that typically give rise to corporate opportunity usurpation disputes. 

Scenario 1: John, an LLC member, had insider knowledge that his company was interested in purchasing a prime piece of real estate for a new development project. Instead of sharing this information with the other members, John secretly acquired the property through a separate entity under his control. When the LLC discovered John's actions, they filed a lawsuit against him for usurping a corporate opportunity.

Scenario 2: Mary, an LLC member, learned that a competitor was experiencing financial difficulties and was looking to sell some of its valuable assets at a discounted price. Instead of bringing the opportunity to the attention of the LLC, Mary decided to pursue the deal personally, hoping to profit from the acquisition. Eventually, the other LLC members found out about Mary's actions and sued her for usurping a corporate opportunity.

Scenario 3: A family-owned LLC consisted of three siblings: Alice, Bob, and Carol. Alice discovered a new, profitable market niche and decided to start a separate competing business without disclosing her plans to Bob and Carol. Alice's new business began to directly impact the LLC's revenue, leading Bob and Carol to file a lawsuit against her for usurping a corporate opportunity and breaching her fiduciary duty.

So, did John, Mary and Alice usurp corporate opportunities in a way that breached a fiduciary duty in the foregoing scenarios? As with most legal issues, these types of cases involve intense inquiries of the underlying facts, including the important question of whether a corporate opportunity existed in the first place. 

In general, to determine whether something is a corporate opportunity, courts look to factors such as:

• Whether the business would be financially able to take the opportunity.
• If the opportunity is in the same line of business as the corporation.
• Whether the corporation has an interest or expectancy in the opportunity.
• Whether taking the opportunity would create a conflict of interest or be a breach of a fiduciary duty.

To the extent a corporate opportunity exists, an LLC member cannot pursue such opportunity for their own personal benefit. Instead, to fulfill his or her fiduciary duty, an LLC member must first offer the business opportunity to the LLC. Failure to do so can give rise to a cause of action by the LLC against the breaching member—not to mention lead to a business divorce due to loss of trust among members. 

Practical Tips: Proactive Measures to Avoid Corporate Opportunity Usurpation Issues in Your California LLC 

The best way to avoid difficult and costly fights involving allegations of breaches of fiduciary duties is to be proactive and ensure that all members of an LLC understand and are fulfilling their fiduciary duties. The following tips are practical best practices for avoiding corporate opportunity usurpation issues that your LLC may want to consider: 

1. Establish clear policies and procedures for disclosing and evaluating potential corporate opportunities: This should include a defined procedure for evaluating the opportunity, determining whether it falls within the scope of the LLC's interests, and obtaining consent before any member pursues the opportunity personally.
2. Implement regular training on fiduciary duties, particularly the duty of loyalty and the corporate opportunity doctrine: This training should cover legal requirements, case studies, and real-life examples to reinforce the importance of adhering to these duties.
3. Encourage open communication among LLC members to foster trust and transparency: Encourage members to openly discuss potential opportunities and conflicts of interest. This open dialogue can help mitigate the risk of corporate opportunity usurpation and strengthen trust among members.
4. Adopt a conflict of interest policy: Draft a comprehensive conflict of interest policy that outlines the steps members must take to disclose any potential or actual conflicts, as well as the process for resolving such conflicts.
5. Establish a clear decision-making process: Define a transparent decision-making process for evaluating and approving business opportunities, including a voting system, quorum requirements, and any necessary approvals from outside advisors or legal counsel. This process will help ensure that all members have an equal say in the pursuit of opportunities and reduce the risk of corporate opportunity usurpation.
6. Consult with legal counsel: Retain experienced legal counsel to advise on the development and implementation of policies and procedures related to fiduciary duties and corporate opportunities. Regularly seek guidance on matters involving potential conflicts of interest or business opportunities to ensure compliance with the law and minimize legal risks. An attorney can help you navigate complex situations and provide valuable insights to protect your LLC's interests.

By incorporating these best practices into your LLC's operations, you can foster a culture of transparency, accountability, and adherence to fiduciary duties. This proactive approach can help prevent corporate opportunity usurpation, avoid disputes between members, protect your LLC's interests, and contribute to its long-term success.

The pace of change in financial services is accelerating due to the growth of new digital channels, technological capabilities, and an increasing array of vendors. No corner of financial services today is untouched by these changes.

As a result, there are now major opportunities for growth. Financial organisations that can innovate and offer smarter, better, faster financial products and services that are relevant to both consumers and business customers alike will achieve greater competitive differentiation, revenue growth and market share.

However, the demand for innovation poses a significant resource management challenge – one made worse by an ongoing reliance on legacy architecture and an extremely competitive market for technical staff.

So how can financial institutions (FIs) rapidly innovate and avoid the next legacy tech trap?

The pace of change is fast and the generational gap is wide

FIs are struggling to keep up with evolving customer expectations for new and innovative products and services.

A major reason is due to generational differences in willingness to adopt new technology emerging in the financial services industry, with millennials being more open to using new technologies and partnering with fintech companies. Aite-Novarica Group research indicates that 70% of millennial-run SMEs currently partner with a non-bank fintech company for some form of financial service capability. This compares to only 30% of boomer- and senior-run SMEs reporting that they are currently working with a nonbank fintech provider.

Non-banks can either be a threat or friend to banks. Banks need to change the fintech delivery model to encompass embedded finance so they can enable non-banks rather than risk being disintermediated by them.

The difficult fork in the road to innovation

FIs face challenges in innovating and launching new products and services due to limited resources and sourcing technology talent remains a major challenge. Despite changes in how vendors work, many FIs still prefer internal development, but this resource-intensive approach is not scalable and risks creating new technical debt. As technology becomes more interconnected, data-driven, and cloud-based, bespoke solutions risk becoming the next form of legacy platform that does not integrate well with other emerging technologies and services.

When it comes to looking externally for partners, this brings its own challenges. Many organisations lack the internal resources to manage these partnerships efficiently. As a result, FIs tend to rely on a small handful of vendor partners, limiting their access to innovative capabilities and best-in-class providers. Legal and commercial agreements can further compound these challenges. Overall, managing these relationships remains an intensive and multistep process that requires the right internal skill set and processes.

Replacing the core won’t fix everything

Many FIs are turning to core replacement as a key part of their modernisation and innovation strategies. However, this process is complex and risky, with three primary strategies: full rip-and-replace, greenfield launch, and wrap-around or core-hollowing. While modernising the core can provide greater flexibility and security, each approach has its own challenges and potential disruptions. Core replacement is not a silver bullet solution to fixing innovation challenges in the financial industry.

Although core modernisation is important for FIs, it can draw attention and resources away from new product and service deployments and innovations. Much like the legacy infrastructure it is intended to replace, FI core modernisation programs are unique in their implementation and prone to significant challenges—even outright failures. Moreover, it is typically time consuming, sometimes taking years – this is time banks can’t afford to lose. FIs need to innovate fast to keep up with market demands and customer expectations.

McKinsey reports that only 30% of core banking system transformations are successful in fully migrating ledgers and products to a new system. Additionally, core modernisation programs that inadequately plan for connectivity and interoperability across the stack lower their innovation efficiency and effectiveness. Therefore, it is important for FIs to find ways to innovate rapidly and immediately in parallel with broader infrastructure initiatives.

Paving the path to innovation

So how can financial institutions (FIs) rapidly innovate and avoid the next legacy tech trap?

The pace of change is fast and the generational gap is wide

FIs are struggling to keep up with evolving customer expectations for new and innovative products and services.

A major reason is due to generational differences in willingness to adopt new technology emerging in the financial services industry, with millennials being more open to using new technologies and partnering with fintech companies. Aite-Novarica Group research indicates that 70% of millennial-run SMEs currently partner with a non-bank fintech company for some form of financial service capability. This compares to only 30% of boomer- and senior-run SMEs reporting that they are currently working with a nonbank fintech provider.

Non-banks can either be a threat or friend to banks. Banks need to change the fintech delivery model to encompass embedded finance so they can enable non-banks rather than risk being disintermediated by them.

The difficult fork in the road to innovation

FIs face challenges in innovating and launching new products and services due to limited resources and sourcing technology talent remains a major challenge. Despite changes in how vendors work, many FIs still prefer internal development, but this resource-intensive approach is not scalable and risks creating new technical debt. As technology becomes more interconnected, data-driven, and cloud-based, bespoke solutions risk becoming the next form of legacy platform that does not integrate well with other emerging technologies and services.

When it comes to looking externally for partners, this brings its own challenges. Many organisations lack the internal resources to manage these partnerships efficiently. As a result, FIs tend to rely on a small handful of vendor partners, limiting their access to innovative capabilities and best-in-class providers. Legal and commercial agreements can further compound these challenges. Overall, managing these relationships remains an intensive and multistep process that requires the right internal skill set and processes.

Replacing the core won’t fix everything

Many FIs are turning to core replacement as a key part of their modernisation and innovation strategies. However, this process is complex and risky, with three primary strategies: full rip-and-replace, greenfield launch, and wrap-around or core-hollowing. While modernising the core can provide greater flexibility and security, each approach has its own challenges and potential disruptions. Core replacement is not a silver bullet solution to fixing innovation challenges in the financial industry.

Although core modernisation is important for FIs, it can draw attention and resources away from new product and service deployments and innovations. Much like the legacy infrastructure it is intended to replace, FI core modernisation programs are unique in their implementation and prone to significant challenges—even outright failures. Moreover, it is typically time consuming, sometimes taking years – this is time banks can’t afford to lose. FIs need to innovate fast to keep up with market demands and customer expectations.

McKinsey reports that only 30% of core banking system transformations are successful in fully migrating ledgers and products to a new system. Additionally, core modernisation programs that inadequately plan for connectivity and interoperability across the stack lower their innovation efficiency and effectiveness. Therefore, it is important for FIs to find ways to innovate rapidly and immediately in parallel with broader infrastructure initiatives.

In Rica Peralejo's vlog titled "Things I Wish I Knew about the Female Body," she talked to Dr. Sheree Bondoc, a board-certified fellow in Metabolic, Nutritional, and Functional Medicine, to discuss what hormonal imbalance is and how it affects one's overall well-being.

According to Dr. Bondoc, hormones are the body's chemicals that regulate the organs. In other words, they tell your body how to do things, so keeping the hormones in our body balanced and steady is essential. But how do we do that?

Dr. Bondoc said several factors contribute to disrupting good hormonal health, but the most common are poor diet and exercise.

"Your organs are very dependent on what you eat, on what you're exposed to, so diet, lifestyle, habits, even medications that you take affect these hormone organs," she said.

"Another factor is sleep. Sleep is a way for your body to repair. When you don't get enough of that, your organs don't repair well, and then the next day, it doesn't perform well," she added.

When you're experiencing hormonal imbalance, some symptoms include fatigue, low energy, and brain fog.

In order to have optimal hormonal health, Dr. Bondoc advised returning to the basics of good health.

"Start with a good diet. Hindi naman kailangan na strict, just avoid too much sugar and processed food as much as possible," the doctor said.

"And then move, not necessarily that you must exercise every day. Just move and walk at least 15 minutes a day," she added.

Dr. Bondoc is one of the doctors in The Core Clinic, where Moira Dela Torre got herself checked about her hormonal imbalance. Dr. Bondoc was also the doctor who guided Moira on the lifestyle changes she has made toward her wellness journey.

A Centers for Disease Control and Prevention report found that more than 15% of American adults are physically inactive. Additionally, according to the Mayo Clinic, they walk only 3,000 to 4,000 steps, on average, daily. That’s less than 20% of the recommended minimum amount of movement.

Between increasing remote work and a rise in jobs that require people to be in front of a computer all day, Americans have become more sedentary.

So what happens when Americans visit a Disney theme park and take 20,000 steps or more a day in hot, humid weather? Many get “Disney rash.”

If you plan on visiting Disney or any other theme park in a warm climate, here’s what you can do to prevent it and what items you should bring to treat it.

Disney rash isn’t actually a rash

It is a nickname for exercise-induced vasculitis (EIV). This condition also happens to runners, dancers, hikers, golfers, swimmers, or simply those standing for long periods in warm climates and heat.

“When the body goes through a vigorous, active period, like prolonged walking, running, or playing sports, it creates an imbalance in the normal functioning of the vascular system,” said Dr. Sony Sherpa. “This leads to swollen and weakened capillaries, which can lead to redness and discomfort.”

“These painful, red or purple splotches appear on areas of the skin not covered by clothing and last anywhere from 3-10 days,” added Catherine Burger, chief nursing officer. “It appears in people who typically are not active yet suddenly spend hours walking in hot or humid weather.”

“Although the exact cause of this condition is unknown, some scientists think that the combination of heat exposure and exercise can damage both muscle fibers and blood vessels, leading to the development of a rash,” said Dr. Kelly Johnson-Arbor, board-certified emergency medicine physician.

Fortunately, it isn’t dangerous or life-threatening and usually disappears on its own. However, it can cause an uncomfortable feeling of itchiness, stinging sensation, or even pain.

If you get the Disney rash, it will most likely stick around long enough to put a damper on your trip to the happiest place on earth.

How can you prepare for a Disney trip to prevent it?

A lack of regular exercise combined with the sheer size of theme parks and the Florida heat is a recipe for disaster. Disney’s Magic Kingdom is 142 acres, and Animal Kingdom, Disney’s largest park, is over 500 acres.

“If your body is not used to prolonged periods of walking, especially in the heat, you are more likely to end up with EIV.
